Pinpot Terms of Service

1. Acceptance of Terms

Welcome to Pinpot! These Terms of Service (“Terms”) are a legally binding agreement between you and Pinpot Inc. (“Pinpot,” “we,” “us,” or “our”). By creating a Pinpot account or using the Pinpot application or website (collectively, the "Service"), you confirm that you have read, understood, and agree to these Terms, including our Privacy Policy and any community guidelines we reference. If you do not agree with these Terms, you must not use the Service. Pinpot’s Service is focused on facilitating in-person meetups at verified venues with minimal online interactions; by using it, you acknowledge and accept the unique nature of the platform.

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms in the app or through other communications. Continued use of Pinpot after changes become effective means you accept the revised Terms. If you do not agree to the updated Terms, you should stop using Pinpot and, if desired, delete your account.

2. Eligibility and Account Registration

2.1. Age Requirement

You must be 18 years of age or older to use Pinpot. Our Service is intended solely for adults. By creating an account, you represent that you are at least 18 and that you have the legal capacity to enter into this agreement.

2.2. Personal Eligibility Criteria

By using Pinpot, you also represent that you (a) have not been removed or banned from any Pinpot service or, to your knowledge, from similar meeting/dating platforms for misconduct; and (b) are not required to register as a sex offender with any governmental authority. We reserve the right to refuse registration or cancel any account if we believe you have violated these representations or if use of the Service would violate any applicable law or regulation.

2.3. Account Registration

When you create a Pinpot account, you agree to provide truthful, accurate, and current information about yourself. This includes using your real name (or commonly used name) and correct age in your profile. You may be required to verify your email, phone number, or other information during sign-up or at later times to activate certain features. You agree to keep your registration information up-to-date. Each person is allowed only one account, and you will not create an account for anyone other than yourself.

2.4. Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Do not share your password or give anyone else access to your account. If you suspect any unauthorized use of your account or a security breach, notify us immediately at [email protected]. We are not liable for any loss or damage arising from unauthorized use of your account, but we will work with you to secure your account once you inform us.

2.5. Identity Verification

Pinpot does not generally conduct formal identity or background verification as a condition of account creation. However, we may offer or require optional identity verification processes (such as photo verification or ID checks) to increase trust and safety. If you choose to verify your identity or we request it due to a safety concern, you agree that the information you provide will be accurate and that we may use third-party services to verify your identity. We reserve the right to limit certain features or suspend your account if identity verification is refused or fails, in order to maintain a safe community.

3. User Conduct and Community Guidelines

Pinpot is committed to fostering a safe, respectful community both online and during in-person meetups. You agree to use Pinpot in a responsible manner and to abide by the following conduct standards. Failure to follow these rules may result in content removal, account suspension, or termination as outlined in Section 9.

3.1. Appropriate Behavior

When using our Service (including creating your profile, interacting with others in-app, and meeting in person), you agree to behave respectfully and lawfully. This includes, but is not limited to, the following commitments:

  • Compliance with Laws: You will follow all applicable laws and regulations at all times. This includes privacy laws, intellectual property laws, anti-spam laws, and any rules applicable to the venues where you meet.
  • Respect and Inclusivity: You will treat other users with courtesy and respect. Hate speech, discrimination, harassment, bullying, or any form of verbal or physical abuse toward anyone (on or off the Service) is strictly prohibited.
  • Honesty: You will not misrepresent yourself. Provide truthful information on your profile and in communications. Do not impersonate any person or entity, or falsify any details about yourself (such as your name, age, identity, qualifications, or intentions).
  • Personal Responsibility: Use common sense in all interactions. If a conversation or interaction becomes uncomfortable, you have the right to end it. You are encouraged to report any user who violates these Terms or engages in inappropriate behavior.

3.2. Prohibited Activities

You agree that you will not engage in any of the following prohibited activities on Pinpot or in connection with your use of the Service:

  • Illegal or Harmful Conduct: Do not use the Service for any unlawful purpose or to promote any illegal activity. You will not solicit or engage in prostitution, human trafficking, or the buying/selling of illegal substances or items. You will not plan or encourage any criminal conduct or violent act through Pinpot.
  • Harassment or Hate: Do not threaten, harass, stalk, intimidate, or do anything that is invasive of another user’s privacy. Any content that promotes racism, bigotry, hatred, physical harm, or discrimination against any individual or group is strictly forbidden.
  • Nudity and Sexual Content: Pinpot is not a place for pornography or overtly sexual content. You may not post obscene or sexually explicit material. Public profile content must be appropriate for a general audience (and in compliance with our Content Guidelines in Section 4). Private communications of a sexual nature should only occur with clear consent from all parties and must still adhere to our rules (e.g., no harassment or illegal content).
  • Personal Data Sharing: In your public profile or any public postings, do not display personal contact information (such as phone number, email address, home or work address, or social media handles). Pinpot encourages initial interactions to stay on the platform and at verified venues for safety. If you choose to exchange personal details or move conversations off-platform, you do so at your own risk (see Section 6 on in-person meetups).
  • Misuse of the Service: You will not use Pinpot for any commercial or promotional purposes not permitted by us. This means you will not advertise or solicit money, gifts, or services from other users, and you will not use the platform to direct users to external websites or competing services. Pinpot is for personal, non-commercial use only.
  • Spam and Scams: Do not engage in any fraudulent activity, such as scams, schemes, or phishing. You will not send unsolicited bulk messages, junk mail, chain letters, or spam to other users. Creating fake profiles, posting repetitive content, or attempting to influence search or matching algorithms by artificial means is prohibited.
  • Unauthorized Access and Bots: You will not attempt to scrape, hack, decipher, decompile, or reverse engineer any software or security components used by Pinpot. The use of any robot, crawler, scraper, site search/retrieval application, or other automated means to access or extract data from the Service (for any purpose) is not allowed. Similarly, you must not introduce malware, viruses, or any other harmful code to the Service.
  • Interference: Do not interfere with or disrupt the operation of Pinpot. This includes not attempting to overload, flood, spam, or crash the Service, and not circumventing any content-filtering or security measures we have in place.
  • Multiple Accounts and Evasion: You will not create more than one account for yourself, nor create an account if we have already removed or banned you from the Service. You will not share your account with others or sell/trade accounts. Also, you agree not to use any technique to bypass account suspension or termination (such as using a new identity or phone number).
  • Improper Reports: We take user reports seriously. You agree not to knowingly make false or unfounded reports about other users or content. Abuse of the reporting or complaints process (such as repeatedly making false claims) is itself a violation of these Terms.

3.3. Reporting and Enforcement

If you witness or experience any conduct that violates these Terms or our guidelines, please report it to us through the in-app reporting feature or by contacting support at [email protected]. Pinpot reserves the right to investigate any incidents or allegations of misuse. We may take any action we deem appropriate for enforcement, including issuing warnings, removing content, or suspending/terminating accounts (see Section 9). We may also report incidents to law enforcement if we believe someone is at risk or a law has been broken.

Remember that you are solely responsible for your interactions with others. Pinpot does not endorse any opinions provided by users and does not pre-screen all content. We do not control – and are not responsible for – the behavior of Pinpot users, whether online or offline. However, we do strive to maintain a respectful environment, and we will take steps against misconduct as described in these Terms.

4. User Content and Content Guidelines

Pinpot allows users to create profiles, post information (like a bio or photos), and communicate with others. All information, text, images, graphics, videos, or other material that you upload, publish, or display on the Service or transmit to other users ("User Content") must comply with these Terms.

4.1. Responsibility for User Content

You are solely responsible for any User Content you provide. You agree not to post or send any content that you wouldn’t want made public or that violates law or these Terms. Prohibited content includes, but is not limited to: content that is illegal; offensive or discriminatory content; sexually explicit or pornographic material; violent or graphic content; hateful or defamatory content; content that infringes someone else’s intellectual property or privacy rights; and any other content that violates Section 3.2 (Prohibited Activities) above. You should also avoid sharing content containing personal data of others without consent, or any confidential or sensitive information.

4.2. Content Quality and Relevance

Information you include in your Pinpot profile (such as your description or interests) should be relevant to the purpose of the Service (i.e., social or dating meetups). Do not post content that is misleading or unrelated. We strongly encourage you to keep your profile content appropriate for viewing by a general audience. Profile Photos should be authentic and appropriate: no nudity, no graphic violence, no children unaccompanied by you (and if you include a child with you, you must be that child’s parent/guardian and fully clothed), and no copyrighted images that you don’t have the right to use.

4.3. License Grant to Pinpot

You retain all ownership rights in the User Content you create. However, in order for us to operate and provide the Service, you grant Pinpot and its affiliates a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to host, store, use, display, reproduce, adapt, edit, publish, translate, and distribute your User Content (in whole or in part) for purposes of operating, developing, promoting, and improving the Service, and for other purposes permitted by our Privacy Policy. This license is limited to those purposes and does not grant us the right to sell your content or use it outside of Pinpot’s services. For example, we may use your profile information or photos to display to other users, to create marketing materials promoting Pinpot (with your permission if required), or to perform analytics on our user base.

4.4. Your Content Representations

You represent and warrant that all information and content you provide is accurate and truthful, and that you have the necessary rights to post it. This means:

  • You either own the content (e.g., you took the photo or wrote the text), or you have obtained all necessary rights and permissions to upload it and to grant the license to us as described.
  • Your posting of the content and the use by Pinpot as allowed by this agreement will not violate or infringe the rights of any third party (for example, posting a photo you don't have permission to use, or using someone else’s copyrighted material, is prohibited).
  • The content complies with all aspects of these Terms and applicable laws.

If any content you post includes personal data of others (for instance, a photo with other people in it, or personal details about someone else), you must have that person’s consent to share it. Pinpot reserves the right to require proof of such rights or consents.

4.5. Monitoring and Content Removal

Pinpot does not pre-approve all User Content, and we are not obligated to monitor any user-provided information. However, we reserve the right, at our sole discretion, to review, screen, delete, or remove any User Content at any time and for any reason, particularly if we believe it violates these Terms or our policies, or we deem it inappropriate or harmful. We may also edit or remove any portion of your profile that violates these guidelines (for example, hiding a photo that violates our rules). We are not responsible for any failure or delay in removing such content.

We also have no obligation to retain or provide you with copies of your User Content, and we may remove or delete it from the Service once your account is terminated (either by you or by us) or as part of routine maintenance. Always keep your own backup of any content you want to preserve.

4.6. Content Visibility

Please be aware that content you share on Pinpot may be visible to other users of the Service. For example, your profile information and photos will be seen by other members, and anything you post in a public forum or group within Pinpot (if such features exist) can be viewed by others. Even direct messages (if we add this feature) might be seen by the recipient(s) you send them to, who could choose to share them with third parties outside the Service. Pinpot cannot control, and is not responsible for, how other users may use or share the content you have made available to them. Therefore, only share content that you are comfortable being public or known to others under these conditions.

5. In-Person Meetups and Verified Venues

One of Pinpot’s unique features is the emphasis on in-person meetups at verified venues. This means the Service is designed to minimize online-only interactions and encourage users to meet face-to-face in safer, approved public locations. While this approach aims to enhance trust and safety, it also requires users to exercise good judgment and personal responsibility during meetups.

5.1. Verified Venues

A "Verified Venue" is a location that Google has identified them as a bar, café, or restaurant, and you could find them using Google Places API. However, Pinpot does not own or control these venues. We simply provide the venues that are approved as a bar, café, or restaurant and are accessible in Google Maps and can be found by Google Places API. We do not make any guarantees about the condition, safety, or suitability of any Verified Venue beyond our initial selection criteria using Google Places API. Always follow the venue’s own rules and policies (e.g., you may need to make a purchase if it’s a café, adhere to their opening hours, dress code, COVID-19 guidelines, etc.).

5.2. Arranging Meetups

When you agree to meet another user through Pinpot, you are entering into that arrangement directly with the other user(s). Pinpot’s role is limited to facilitating the introduction and suggesting the place/time via the app’s features. Any agreement to actually meet is solely between the users involved. You are responsible for your own actions and decisions before, during, and after the meetup. If you decide to consume alcohol or engage in any activity at a meetup, do so responsibly and understand that it is at your own risk.

5.3. Safety at Meetups

We strongly encourage you to use caution and common sense when meeting someone in person through Pinpot. Even though a venue is "verified," you should remain aware of your surroundings and follow standard safety practices as you would when meeting any new person. For example, consider telling a friend or family member when and where you’re going, keep your personal belongings secure, and do not feel pressured to do anything you are not comfortable with. If at any point you feel unsafe or the other person is acting inappropriately, you have the right to leave. Your well-being comes first.

5.4. No Endorsement or Supervision

Pinpot does not supervise user meetups or provide staff to oversee them. We do not generally send representatives to Verified Venues during your meetings, and we do not conduct real-time monitoring of in-person interactions. The designation of a "Verified Venue" is not an endorsement or guarantee by Pinpot of any user's character, or a guarantee that the meetup will be safe or successful. Pinpot is not liable for what happens during or as a result of your in-person meetings (except as provided by law and as stated in these Terms). All participants assume full responsibility for any outcomes.

5.5. User Cooperation with Venue Rules

Because meetups take place in third-party venues, you agree to abide by the rules and requests of those venues. For instance, if a café requires masks or has age restrictions after a certain hour, or if a restaurant asks you to leave for disruptive behavior, you must respect those conditions. If you are banned from or asked to leave a Verified Venue due to your behavior, Pinpot may consider this a violation of our Terms (especially if it involves harassment or illegal activity) and take appropriate action on your account.

5.6. Optional and Off-Platform Meetings

We recommend using Pinpot’s Verified Venues for initial meetups to provide a baseline of safety and we do not let users to choose any venue but the ones provided by Google Places API as a verified bar, café, or restaurant. If you and another user decide to meet somewhere else (a non-verified location, a private residence, etc.) or engage in activities outside the scope of the Service, understand that those arrangements are outside of Pinpot’s purview. The same applies if you continue communication through other means (phone, email, other apps) instead of using Pinpot’s platform. Pinpot cannot protect or assist you in such cases and disclaims all liability arising from meetings or communications that are not arranged through the Service or not at Verified Venues. Please take even greater precautions if you choose to meet in a non-public place or without the safeguards that Pinpot’s system tries to offer.

In summary, Pinpot encourages real-world connections in controlled environments, but we rely on you to exercise caution and judgement. We care about your safety and urge you to follow our guidelines and report any incidents (Section 3.3) so we can take appropriate measures to keep our community safe.

5.7. Post-Meetup Feedback and Ratings

Pinpot may allow users to provide ratings, reviews, or feedback after a meetup has taken place. These ratings and reviews:

  1. Must be Honest and Respectful: You agree to share factual feedback, refrain from defamation, and comply with our Prohibited Activities in Section 3.2.
  2. Are User Opinions: Ratings are opinions, not verified facts. Pinpot does not endorse or guarantee the accuracy of any rating or review and disclaims liability for any reliance on user-generated feedback.
  3. May Be Moderated: Pinpot reserves the right to remove or modify any rating or review that violates these Terms, contains unlawful content, or is otherwise misleading, malicious, or inappropriate.
  4. No Endorsement or Liability: Pinpot does not verify the underlying statements in a user’s review and is not liable for any claims arising from posted feedback (e.g., allegations of defamation or unfair commentary). If you believe a rating or review is defamatory or violates your rights, please report it via [in-app reporting feature/ support email] so we can review the content.

6. Privacy and Data Use

Your privacy is important to us. Our Privacy Policy explains in detail how we collect, use, store, and protect your personal information when you use Pinpot. By using the Service, you acknowledge that you have read our Privacy Policy and understand that Pinpot will use your information in accordance with it.

6.1. Data Collection and Use

Generally, we collect the personal information you provide when you register and use Pinpot (such as your profile details, photos, location when you choose to share it, and interactions with other users). We also collect certain technical information (like device identifiers and usage data) to improve our Service. We use this information to operate Pinpot’s features (for example, to match you with nearby meetups), to ensure user safety (for instance, verifying your account or investigating reports), and to personalize your experience. We may also use your data to communicate with you about Service updates, new features, or promotions, in line with your notification preferences and applicable law.

6.2. Sharing of Information

We do not sell your personal data to third parties. We may share information with:

  • Other Users: Obviously, information you include in your profile will be visible to other members. Certain data, like your name, profile photo, general bio, and the fact that you RSVP’d to an event or plan a meetup, may be visible to relevant users or groups within Pinpot.
  • Service Providers: We use reputable third-party companies to support our Service (for example, cloud hosting, payment processing, SMS verification, analytics). They may process your data on our behalf under strict obligations to safeguard it.
  • Affiliates and Partners: If Pinpot is part of a group of companies or engages in partnerships (such as with verified venues or event organizers), we might share necessary info with those affiliates or partners to facilitate the Service (for example, letting a venue know how many people to expect for a scheduled meetup, without sharing personally identifying details unless necessary).
  • Legal and Safety Reasons: We may disclose information if required by law, subpoena, or other legal process. We may also share details if we believe in good faith that such disclosure is necessary to (i) investigate or remedy potential violations of these Terms or user misconduct; (ii) protect the rights, safety, or property of Pinpot, our users, or others; or (iii) address fraud or security issues.

These Terms do not modify the Privacy Policy but do highlight that by using Pinpot, you consent to the data practices described therein, including (where applicable) the transfer of your personal information to other countries where we or our service providers operate. If you have questions about our privacy practices, you can contact us at the information provided in the Privacy Policy.

6.3. Data Security

Pinpot implements measures to protect your personal information. However, no website or internet transmission is completely secure. You acknowledge that any information you share with us is at your own risk. We cannot guarantee that unauthorized third parties will never be able to defeat our security measures. If we become aware of a security breach that affects your personal data, we will notify you as required by law.

6.4. Communications from Pinpot

By creating an account, you agree that we may send you administrative, transactional, and safety-related communications (e.g., confirmations, legal notices, security alerts) via email, in-app messages, or other contact information you provide. You may also receive promotional communications if you have opted in. You can opt out of non-essential communications through your account settings or by following the unsubscribe instructions in those messages. However, you cannot opt out of certain essential communications, such as notifications of changes to these Terms or the Privacy Policy, or account and security notices, as they are necessary for the operation of the Service.

6.5. Compliance with Laws

Pinpot strives to comply with all applicable privacy and data protection laws. If you are located in certain jurisdictions (such as the European Economic Area, United Kingdom, California, etc.), you may have specific privacy rights under laws like the GDPR or CCPA. Our Privacy Policy outlines rights such as access to your data, correction, deletion, and how to exercise them. Nothing in these Terms will limit any rights you have under applicable data protection or consumer laws. If any part of these Terms is in conflict with the Privacy Policy or such laws regarding personal data, those laws and the Privacy Policy will prevail to the extent of that conflict.

7. Subscription Plans and Payment Policies

While basic use of Pinpot may be free, we offer or may offer in the future certain premium features or subscription-based services ("Subscription" or "Premium Services") to enhance your Pinpot experience. This section explains the terms that apply if you choose to purchase a subscription or any paid services, including payment and refund policies.

7.1. Fees and Auto-Renewal

If you opt to purchase a Pinpot Subscription or any paid feature, you agree to pay the specified fees (e.g., monthly or annual subscription fees, or one-time charges) and any applicable taxes. When you subscribe, you authorize Pinpot (or our third-party payment processor) to charge your chosen payment method for the initial subscription term and automatic renewals of the subscription until you cancel. Subscriptions automatically renew for consecutive periods equal to the initial subscription term (for example, a monthly subscription will renew each month) at the then-current price for that service. We will clearly inform you of the rates and billing schedule at the time of purchase.

7.2. Managing and Canceling Subscription

You can cancel your subscription at any time to prevent future billing. If you subscribed through the Pinpot app or website using a credit card or other direct payment, you can cancel via your account settings or by contacting our support at [email protected]. If you subscribed via a third-party app store (such as Apple App Store or Google Play), you must manage and cancel your subscription through your account with that app store. When you cancel, your subscription will remain active until the end of the period you already paid for, and it will not renew after that. We do not typically provide refunds or credits for partial subscription periods or unused services after you cancel, except as required by law or explicitly stated in our refund policy.

7.3. Refund Policy

All purchases are generally non-refundable, and there are no refunds or credits for partially used subscription periods. However, there are a few exceptions and rights that may apply:

  • Statutory Cooling-off Periods: If you reside in a jurisdiction that grants you a statutory right to cancel orders or subscriptions within a certain period (for example, a 14-day cooling-off period for some EU users, or specific rights for consumers in certain U.S. states), we will honor those rights as applicable. For instance, EU customers who purchase a subscription may cancel within 14 days of purchase for a full refund if they have not used the service beyond what is necessary to check its functionality. Note that by using the premium service during the cooling-off period, you may be expressly waiving this right to the extent permitted by law.
  • California 3-Day Cancellation Right: In compliance with certain U.S. state laws for dating services, if you are a new subscriber residing in California (or any state with a similar requirement), you may cancel your subscription without penalty or obligation and receive a full refund of all amounts paid at any time before midnight of the third business day after the date you subscribed. To cancel under this provision, you must send us a notice via email or mail (using the contact information in Section 15) within that three-day period, stating that you are canceling. This refund right applies only to your first purchase of a subscription; subsequent renewals may not be subject to the same rule.
  • Purchases via App Stores: If you made a payment through an external platform (Apple App Store, Google Play, etc.), the platform’s refund policies will apply. We do not have the ability to issue refunds for purchases made through third-party platforms. For example, if you subscribed using your Apple ID, any refund requests must be handled by Apple. We will abide by the app store’s determinations on refunds.

We do not typically provide refunds or credits for partial subscription periods or unused features, unless otherwise stated.

7.4. Changes to Fees

Pinpot may change the price of subscriptions or introduce new fees for additional features in the future. If the pricing for your existing subscription will change upon a renewal, we will give you advance notice (for example, through the app or by email) prior to the renewal date. If you do not agree to the new price, you must cancel your subscription before the next billing cycle. If you do not cancel, the new rate will apply from the renewal onward. Promotional offers or discounts may be subject to additional terms and may not be available to all users.

7.5. Payment Methods

All subscription fees and in-app purchases for Pinpot’s paid features are processed exclusively through the Apple App Store or Google Play Store (“App Stores”). You must have a valid payment method on file with the relevant App Store to complete your purchase. Pinpot does not collect or store your credit card or banking details; all payment information is managed by the App Store according to its own terms and conditions.

If your payment method on the App Store is declined, invalid, or otherwise fails, your purchase or subscription may be canceled, paused, or revoked according to the App Store’s policies. We do not have the ability to directly charge you for unpaid fees or collect payments through other means, nor do we control the App Store’s decisions regarding delinquent accounts. You are solely responsible for keeping your App Store payment information current, ensuring sufficient funds, and understanding the platform’s billing rules. Any issues regarding disputed charges, failed payments, or refunds must be handled directly through the App Store’s customer support in accordance with its guidelines.

7.6. No Refunds for Violations

If your account is suspended or terminated by Pinpot due to a violation of these Terms or other policies, you will not be entitled to a refund of any unused portion of subscription fees or other payments (except where required by law). Likewise, if you voluntarily delete your account or downgrade from a paid subscription to a free service, you may lose access to features immediately and will not receive a refund for any period remaining in your paid subscription term, except at our sole discretion or as required by law.

7.7. Other In-App Purchases

In the future, Pinpot may offer additional paid features or one-time purchases. If we introduce such features, we will provide clear pricing and refund policies at the time of purchase.

8. Safety and Security Measures

Pinpot takes the safety and security of our community seriously. In addition to the in-person meetup precautions discussed in Section 5, the following measures and disclaimers apply to the overall use of our Service:

8.1. No Background Checks (Standard Practice)

Pinpot does not routinely conduct criminal background checks or identity verification on its users. We do not investigate the backgrounds of users or verify the statements users make. You should not assume that someone is trustworthy or safe based on their Pinpot profile alone. Use the same caution you would when meeting any new person for the first time.

8.2. Optional Screening

While not required for registration, Pinpot reserves the right to conduct a background check or screening on a user if we receive information that gives us reason to do so (for example, a report of abusive behavior or evidence of a serious criminal history). This could include searches of public records, criminal registries (including sex offender registries), or other vetting methods, as permitted by law. These checks are solely for our own informational purposes to enhance community safety, and we do not guarantee that we will conduct them for any or all users. If a screening reveals information that, in our judgment, indicates a user is unsuitable for the platform or poses a safety risk, we may suspend or terminate that account (and such decision may be made without disclosing specifics to the user, to protect reporting sources or comply with law).

8.3. User Safety Tools

We provide tools to help you manage your interactions and stay safe:

  • Blocking: You can block a user within the app, which prevents them from contacting you or seeing your profile. Blocked users may not be notified of the block, but they will no longer be able to interact with you on Pinpot.
  • Reporting: As noted in Section 3.3, we encourage you to report any suspicious or inappropriate behavior. Reports are confidential and help us keep the community safe.
  • Venue Verification: Our Verified Venues feature (Section 5) is designed to give you safer public options for meetings. This is a security measure to reduce the risks associated with meeting in private or unknown locations.
  • Safety Tips: Pinpot may provide a dedicated “Safety Tips” page in the app or on our website. These tips are intended to offer general guidance—for example, recommending you meet in public, let friends know your plans, and stay aware of your surroundings. However, these tips are not exhaustive, nor are they a substitute for your own judgment and caution. Pinpot does not monitor user compliance with these guidelines and cannot guarantee user safety or that any other user is following them. By using Pinpot, you acknowledge that you are solely responsible for your personal safety and well-being during any in-person interactions arranged through our Service. Pinpot is not liable if a user disregards our suggestions and encounters harm. For more information on safe meetup practices, consult https://www.pinpotapp.com/safety-tips.html.

8.4. No Guarantee of Safety

While we strive to create a secure environment, Pinpot cannot guarantee absolute safety. Interactions with others, whether through our Service or in person, can be unpredictable. You agree to assume all risk when engaging with others through Pinpot. We do not guarantee that using our Service will result in safe interactions or that other users are who they claim to be or will act honorably. Pinpot is not responsible for the behavior or actions (online or offline) of any user, and you agree that we will not be liable for any damages or harm arising out of your interactions (except as expressly provided in these Terms).

8.5. User Disputes

You are solely responsible for your interactions with other Pinpot users. However, we reserve the right (but have no obligation) to monitor or become involved in disputes between users. If you have a dispute with another user, you release Pinpot and our employees, officers, and agents from any claims, demands, and damages of every kind arising out of or connected with such dispute, to the maximum extent permitted by law.

8.6. Account Security Measures

We employ technical and administrative measures to protect the security of our platform and your account (such as encryption, secure servers, fraud detection). However, you must also play a role in keeping your account secure: protect your password, log out of shared devices, and be cautious about sharing personal details publicly. We will never email you asking for your password; beware of phishing attempts. If you suspect your Pinpot account has been compromised, change your password immediately and contact us.

8.7. Third-Party Safety Features

Pinpot might integrate third-party safety features or services (for example, a panic button integration, ID verification service, or emergency assistance feature) to help protect users. Use of any such features may be subject to additional terms from those third parties, and we do not guarantee their performance. Any third-party safety service is provided for your convenience, and Pinpot is not responsible for the actions or omissions of those third parties.

9. Account Suspension, Termination, and Enforcement

Pinpot hopes you enjoy the Service, but you understand that your use of Pinpot is at our discretion. We reserve the right to suspend or terminate your account if you violate these Terms or for any other reason, with or without notice.

9.1. By You (Termination)

You may terminate your account at any time and for any reason. To do so, you can use the account deletion function in the app or contact us at [email protected] with a request to delete your account. Please note that for security, we may require you to verify your identity or ownership of the account before deleting it. Termination by you will be effective once processed by Pinpot If you terminate your account, you will not be entitled to any refunds for purchases or subscriptions (see Section 7.6), and you will lose access to any data associated with your account (subject to our data retention practices in the Privacy Policy). However, we may retain your account data for a limited period (e.g., 30 days) to allow for potential reactivation or to comply with legal obligations, as described in our Privacy Policy. If you log back in before that period ends, your account will be restored. After the retention period, your personal data will be permanently deleted or anonymized according to our Privacy Policy.

9.2. By Pinpot (Suspension or Termination)

We may, at our sole discretion, suspend, restrict, or terminate your account (or certain functionalities within the account, like your messaging privileges) at any time for reasons including, but not limited to:

  • Violations: You have violated these Terms, our Privacy Policy, any applicable law, or any guidelines or policies that are part of the Service (including the Community Guidelines or Content rules).
  • Misconduct: We receive reports or evidence of improper behavior, whether online on the Service or offline during meetups. This can include harassment complaints, violent or threatening behavior, or any conduct that we believe poses a risk to our community or to others.
  • Inactivity: A prolonged period of inactivity on a free account (we may remove accounts that have not been accessed in over 1 year, to free up usernames, though we will try to warn you via email first).
  • Fraud or Illegal Use: We suspect your account has been involved in fraud, spamming, or any illegal activity.
  • At Our Discretion: Even without a specific violation, we reserve the right to terminate if we decide to discontinue the Service or a portion of it, or if keeping your account open is no longer in our business interest (this is unusual and would likely be accompanied by notice or explanation).

In most cases, if the violation is not severe, we will attempt to send you a warning or notice of the issue. However, for serious violations or threats to safety, we may suspend or terminate immediately and then notify you after the fact. During suspension, you may not be able to use certain features or the entire Service.

9.3. Effect of Termination

When your account is terminated (by you or us), you will lose access to the Service and any of your content within it, with no liability to Pinpot to compensate you for such loss. We are not required to maintain or provide you copies of any content or data associated with your account after termination, except as required by law. However, even after an account is terminated, some information may persist in backup copies for a limited time or as required to comply with legal obligations. Additionally, other users may retain content you shared with them; Pinpot has no control over that.

Any provisions of these Terms that by their nature should survive termination (such as liability limitations, licenses granted by you, indemnity, dispute resolution, and our disclaimers) will survive the termination of your account and the end of this agreement.

9.4. Appeals

If you believe your account was suspended or terminated in error, you may contact us at [email protected] to request a review. We will consider your request but please note we are not obligated to restore content or reactivate an account terminated for cause. In some cases, we may choose to grant you the opportunity to rectify a violation (if minor) or provide additional information.

9.5. No Liability for Enforcement Actions

Pinpot is not liable to you or any third party for any suspension or termination of your access to the Service, or for the removal of any User Content you have posted. This includes if your in-person actions (such as being removed from a Verified Venue or being reported for offline behavior) result in enforcement against your account on the platform. Our decisions regarding enforcement are final and made to protect our community and service integrity.

10. Disclaimers of Warranties

Use at Your Own Risk: Pinpot provides the Service on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, Pinpot disclaims any and all warranties and representations of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not guarantee that Pinpot will meet your specific expectations or requirements, or that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

In particular, Pinpot makes no warranties or representations about the accuracy or completeness of user profiles or content, the availability or quality of any meetups or Verified Venues, or the conduct of you or other users. For example:

  • We do not warrant that any information you obtain on Pinpot (including another user’s identity, profile data, or background) is true or reliable. Users are responsible for providing accurate information, but we do not guarantee it.
  • We do not endorse any individuals you meet through Pinpot. Any meeting or interaction with other users is at your sole risk.
  • Although we verify certain venues for meetups, we do not guarantee your safety or satisfaction with any venue, and we are not responsible for any third-party facilities or services (such as a café’s cleanliness or a bar’s staff).
  • We are not responsible for any content that you or other users provide. Any content or information obtained through Pinpot is used at your own discretion and risk.

No Warranty of Availability: Pinpot strives to keep the Service up and running, but there is no guarantee that the Service will always be available or that it will operate without interruption or errors. Maintenance, updates, technical issues, or reasons beyond our control (such as internet outages or force majeure events) may occasionally result in temporary service disruptions. We will try to give advance notice for scheduled downtime, but we are not liable for any inconvenience or loss caused by these outages.

Third-Party Services: The Service may include integrations or links to third-party websites or services (such as map services for venues, payment processors, login through social networks, or external safety services). Pinpot is not responsible or liable for the availability, accuracy, or reliability of any such third-party content or services. Inclusion of these links or integrations on our Service does not imply our endorsement. Use of third-party services may be subject to their own terms and privacy policies, which we encourage you to review.

Implied Warranties: Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not fully apply to you. In such cases, and if you are a consumer under the laws of your jurisdiction, these Terms will not affect any statutory warranties or consumer rights that cannot be waived, and Pinpot’s liability will be limited to the minimum extent permitted by applicable law.

11. Limitation of Liability

To the maximum extent permitted by law, in no event will Pinpot or its parent company, affiliates, subsidiaries, officers, employees, agents, partners, or licensors (collectively, "Pinpot Parties") be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages, or for any loss of profits, revenues, goodwill, data, opportunity, or use, arising out of or related to your use of (or inability to use) the Service or the conduct of you or anyone else in connection with the Service. This limitation applies whether the claims are based in warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if Pinpot has been advised of the possibility of such damages.

In particular, and without limiting the generality of the foregoing, Pinpot and the Pinpot Parties are not responsible for:

  • Any injury, loss, or damage (whether to person or property) resulting from attending an in-person meetup arranged through Pinpot, or from visiting a Verified Venue.
  • Actions or statements of third parties, including other users, venues, or outside websites or services.
  • Unauthorized access to or alteration of your content or communications, or any malicious code (viruses, etc.) that may be transmitted to or through our Service by any third party.
  • Any events beyond our reasonable control, such as accidents at venues, conflicts between users, or technical failures.

If, notwithstanding the other provisions of these Terms, a Pinpot Party is found to be liable to you for any claim or cause of action arising out of the Service or these Terms, the Pinpot Parties’ aggregate liability to you shall not exceed the total amount paid by you to Pinpot for the Service in the twelve (12) months prior to the event giving rise to the liability, or one hundred U.S. dollars (USD $100) if you have not had any payment obligations to Pinpot, whichever amount is greater. This limitation applies to all claims of every kind and nature.

Exceptions: Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitation or exclusion may not apply to you in full. In those jurisdictions, our liability will be limited to the fullest extent permitted by applicable law. Additionally, we do not seek to limit liability for gross negligence, willful misconduct, or intentional wrongdoing by Pinpot, nor for death or personal injury caused by our negligence, or any other liability that cannot be limited by law.

You acknowledge and agree that the limitations of liability and disclaimers in these Terms are a fair allocation of risk and an essential part of this agreement, and that Pinpot would not be able to offer the Service without these limitations.

12. Indemnification

You agree to indemnify, defend, and hold harmless Pinpot and its affiliates, and each of their officers, directors, employees, consultants, and agents (the "Indemnified Parties") from and against any and all third-party claims, demands, actions, suits, losses, costs, liabilities, damages, or expenses (including reasonable attorneys’ fees and court costs) that arise out of or relate to: (a) your use of the Service, including any in-person meetings or activities you participate in through Pinpot; (b) your User Content or information you provide through the Service; (c) your violation of these Terms or of any applicable law or regulation; or (d) your violation of any rights of any third party (for example, infringing someone’s copyright or violating someone’s privacy or other rights through content or conduct).

Pinpot reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You may not settle any such claim in a manner that imposes an admission of fault or any obligations on the Indemnified Parties without our prior written consent. We will use reasonable efforts to notify you of any claim, action, or proceeding subject to indemnification as soon as we become aware of it.

This indemnification provision will survive any termination of your account or the Service and your use of the Service.

13. Dispute Resolution and Arbitration Agreement

Please read this section carefully. It requires most disputes to be resolved through binding arbitration on an individual basis, and it limits certain rights, including the right to pursue a class action or trial by jury, unless you opt out as described below.

13.1. Informal Resolution

We’d like the opportunity to address your concerns without formal legal action. Before filing a claim against Pinpot, you agree to try to resolve the dispute informally by contacting us at [email protected] with a brief written description of the dispute and your contact information (including your account email). We will do the same if we have a dispute with you. Both you and Pinpot agree to negotiate in good faith to resolve the dispute. If the dispute is not resolved within 30 days after the initial notice, either party may proceed with formal proceedings.

13.2. Agreement to Arbitrate

Except for the exceptions stated in Section 13.7 below, if you reside in the United States, you and Pinpot agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service (collectively, “Disputes”) will be settled by binding arbitration on an individual basis, to the fullest extent permitted by law. This includes disputes about the validity, enforceability, or interpretation of this arbitration provision. You understand that by agreeing to arbitration, you and Pinpot are each waiving the right to a trial by jury or to participate in a class or representative action.

• If you reside outside the United States (for example, in Canada or Europe), the mandatory arbitration and class action waiver provisions of this Section will apply only to the extent permitted by the laws of your jurisdiction. If your local consumer-protection law prohibits mandatory arbitration for consumer disputes, or otherwise renders this arbitration clause unenforceable, then you may have the right to pursue your Dispute in your local courts. In such cases, Section 14 (Governing Law and Jurisdiction) will still apply to determine which laws govern and which courts have jurisdiction, unless otherwise mandated by local law.

13.3. Arbitration Procedures

If you are in the U.S. (and local law allows for mandatory arbitration), the arbitration will be administered by a neutral arbitration provider, such as the American Arbitration Association (“AAA”) or Judicial Arbitration and Mediation Services (“JAMS”), as agreed upon by you and Pinpot. If we cannot agree, the arbitration provider will be determined by a court. Unless you and Pinpot agree otherwise, the arbitration will be conducted under the rules of the chosen arbitration provider that are in effect at the time the claim is made (for example, the AAA Consumer Arbitration Rules). You can find more information about these rules on the provider’s website.

Canadian or Other Non-U.S. Users: If local law permits arbitration, we may agree to use an established Canadian (or other local) arbitration institution or rules, such as ADR Chambers or ICDR Canada, or a mutually agreed-upon arbitrator. If arbitration is not permitted for consumers under your local law, then this Section does not apply, and you may bring your claims in the courts specified in Section 14 or any other venue required by law.

13.4. Arbitration Location and Process

You may choose to have the arbitration conducted via telephone, based on written submissions, or in person in the county where you live or another mutually agreed location. If not otherwise agreed, the default location shall be a major city near Pinpot’s headquarters (which will be specified if needed). The arbitrator will have the authority to award the same damages and relief that a court could (including attorney’s fees if allowed by law), except that the arbitrator may not award relief on a class or representative basis or any relief that extends beyond your individual claim. The arbitration award will include a written statement stating the essential findings and conclusions upon which the award is based. The arbitrator’s decision and award is final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

13.5. Arbitration Fees

Payment of all filing, administration, and arbitrator fees will be governed by the arbitration provider’s rules. We will not seek to recover our attorney’s fees or arbitration costs from you unless the arbitrator determines that your claim is frivolous or brought in bad faith (in which case the arbitrator may award us fees, as allowed by the rules and law). Likewise, you will not be required to pay our attorneys’ fees or costs in arbitration, even if you do not prevail, unless the arbitrator finds that you are responsible for an abuse of the arbitration process. If the arbitration provider requires you to pay a filing fee, Pinpot will reimburse that fee for claims totaling less than $10,000, unless the arbitrator determines your claims are frivolous or meritless.

13.6. Class Action Waiver

You and Pinpot agree that any Dispute will be conducted only on an individual basis and not in a class, consolidated, collective, or representative action. Multiple individuals’ claims cannot be arbitrated or litigated jointly under this provision. You and Pinpot expressly waive the right to a jury trial or to participate in a class action or class arbitration. If for any reason this class action waiver is found to be unenforceable or does not apply to a particular claim (such as a request for public injunctive relief, which a court decides cannot be arbitrated), then that specific claim (and only that claim) must be brought in a court of competent jurisdiction, and all other claims remain subject to this arbitration agreement. To the extent this waiver of class or representative actions is prohibited by the laws of your jurisdiction, it may not apply to you.

13.7. Exceptions to Arbitration

Notwithstanding the above, the following types of claims may, at the option of the party seeking relief, be brought in court and not subject to the arbitration agreement:

  • Small Claims: If the claim qualifies for small claims court in a jurisdiction whose law may apply, either party may initiate an action in small claims court in lieu of arbitration.
  • Injunctive Relief for IP: Either party may seek injunctive or other equitable relief in a court of law for the unauthorized use of intellectual property, trade secrets, or confidential information. For example, if you misuse the Service in a way that violates our copyrights or trademarks, we can go to court to stop you (or vice versa, you could go to court to stop an alleged data breach or privacy violation).
  • Opt-Out: You have the right to opt out of this arbitration agreement. If you do not wish to be bound by arbitration and class-waiver provisions in this section, you must send a written notice to [Pinpot Inc., 2244 St Joseph Blvd E, Montréal, QC H2H 1G2, Canada / [email protected]] within 30 days of creating your account or first agreeing to these Terms (whichever is later). The opt-out notice must include your name, address, the email associated with your Pinpot account, and an unequivocal statement that you opt out of the arbitration agreement. If you opt out, neither you nor Pinpot can require the other to participate in arbitration for Disputes. Opting out of this arbitration agreement will not affect any other provisions of these Terms, including the governing law or venue provisions below. If you do not opt out within 30 days of first agreeing to these Terms, you and Pinpot shall be bound by the arbitration and class-action waiver provisions of this Section.

13.8. Severability of Arbitration Provisions

If any portion of this arbitration agreement is found unenforceable, that portion shall be severed and the remainder of this Section 13 shall remain in force. However, if the class action waiver in Section 13.6 is found to be unenforceable in a particular case, then the entirety of this arbitration agreement shall be null and void with respect to that case only. In such instances, the dispute must be brought exclusively in court, and not as a class or representative action, as provided in Section 14 below.

This Section 13 will survive termination of your account and the cessation of your use of the Service.

14. Governing Law and Jurisdiction

14.1. Governing Law

Except to the extent that the arbitration agreement in Section 13 is governed by the Federal Arbitration Act (if you are in the United States), these Terms and any Dispute arising out of or related to them or the Service will be governed in all respects by the laws of the Province of Quebec, Canada, without regard to conflict of law provisions. The governing law is chosen based on the location of Pinpot’s headquarters and operations. However, this choice of governing law shall not deprive you of any consumer protection rights you might be entitled to under the mandatory laws of your own country of residence.

14.2. Jurisdiction and Venue

Subject to the arbitration agreement in Section 13, you and Pinpot agree that any judicial proceedings (other than small claims actions or claims for injunctive relief as allowed under Section 13.7) will be brought in the courts located in Montréal, in the Province of Quebec, Canada, unless otherwise required by a law that gives you the right to bring a claim in your local courts. Both you and Pinpot consent to venue and personal jurisdiction there, and waive any objection on the grounds of inconvenient forum or any similar doctrine.

If you reside outside of Canada, you may also have the right to bring legal proceedings in your local courts and under your local laws if applicable law so requires. In such case, the dispute will be governed by the substantive laws of your country of residence only to the extent required by local law, and all other provisions of these Terms will remain in effect.

15. Miscellaneous Provisions

15.1. Entire Agreement

These Terms, along with the Privacy Policy and any other policies or guidelines incorporated by reference, constitute the entire agreement between you and Pinpot concerning the Service. They supersede any prior or contemporaneous agreements, communications, or understandings (whether oral or written) regarding your use of Pinpot. Any additional or different terms in any email, purchase order, or other communication from you are void unless explicitly agreed to in writing by an authorized officer of Pinpot.

15.2. No Waiver

If we fail to enforce any part of these Terms, it will not be considered a waiver of our rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Pinpot. The rights and remedies of Pinpot under these Terms are cumulative and do not exclude any rights or remedies provided by law.

15.3. Severability

In the event that any provision of these Terms is found to be invalid, illegal, or unenforceable for any reason by a court or arbitrator of competent jurisdiction, that provision shall be deemed severable from the Terms and shall not affect the validity or enforceability of the remaining provisions, which will remain in full force and effect. However, if such provision was essential to an agreement to arbitrate or to any other essential part of the agreement, the remaining provisions may need to be reinterpreted in light of the severance.

15.4. Assignment

You may not assign or transfer these Terms or any of your rights or obligations under them, in whole or in part, to any third party without our prior written consent. Any attempt to do so without consent will be null and void. Pinpot may assign or transfer these Terms or any or all of its rights and obligations under them, in whole or in part, without your consent and without notice to you. For example, this could occur in the event of a merger, acquisition, sale of assets, or by operation of law. These Terms will inure to the benefit of and be binding upon each party’s successors and permitted assigns.

15.5. No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. No person or entity other than you and Pinpot (and your permitted assigns) shall have any right to enforce any term of this agreement.

15.6. Relationship of Parties

You and Pinpot are independent contractors. These Terms do not create any partnership, joint venture, agency, franchise, or employment relationship between the parties. You have no authority to make or accept any offers or representations on behalf of Pinpot.

15.7. Headings and Interpretation

Section headings in these Terms are for convenience only and have no legal or contractual effect. Words like "including" or "such as" shall be deemed to be followed by "without limitation" where appropriate. Any reference to the singular includes the plural and vice versa.

15.8. Notices

Pinpot may provide notices or communications to you by email (to the address associated with your account), via in-app notifications, or through other reasonable means. You are responsible for maintaining an up-to-date email address in your account profile to receive communications. Official notices to Pinpot must be sent by postal mail to our physical address or by email to [email protected] as follows:
